Terms of Service

These Terms of Service govern your use of TLSTAGE's sourcing services and website. By accessing our services, you agree to be bound by these terms.

1 Acceptance of Terms

Welcome to TLSTAGE. By accessing or using our website, services, or placing an order with us, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), along with our Privacy Policy.

These Terms constitute a legally binding agreement between you (the "Client" or "you") and TLSTAGE ("Company," "we," "us," or "our"), a fashion sourcing company based in Guangzhou, China.

Important: If you do not agree with any part of these Terms, you must not use our services. Continued use of our services constitutes acceptance of these Terms and any future modifications.

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

2 Description of Services

TLSTAGE provides comprehensive fashion sourcing services, connecting international clients with manufacturers in Guangzhou, China. Our services include:

  • Product Sourcing: Identifying and sourcing fashion products including shoes, apparel, bags, and accessories
  • Supplier Selection: Connecting clients with vetted, reliable manufacturers
  • Quality Control: Conducting product inspections and quality assurance
  • Sample Coordination: Managing sample production and delivery
  • Order Management: Overseeing production, logistics, and shipping
  • Consulting Services: Providing market insights and sourcing advice

Service Scope: We act as intermediaries and facilitators between clients and manufacturers. While we exercise due diligence in selecting suppliers, the ultimate contractual relationship for product manufacturing is between you and the selected manufacturer.

3 User Accounts and Registration

To access certain features of our services, you may need to provide information through our inquiry forms or registration process.

Your Responsibilities

  • Provide accurate, current, and complete information
  • Maintain and promptly update your information to keep it accurate
  • Protect the confidentiality of any login credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities conducted through your account

Eligibility

You must be at least 18 years of age and have the legal authority to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

4 Orders and Quotations

Quotation Process

Upon receiving your inquiry, we will provide a quotation typically within 24 hours. Quotations include:

  • Product specifications and pricing
  • Minimum Order Quantity (MOQ) requirements
  • Production timeline estimates
  • Shipping options and costs
  • Payment terms

Quotation Validity

Quotations are valid for 30 days from the date of issuance unless otherwise specified. Prices are subject to change due to fluctuations in material costs, currency exchange rates, or other market conditions.

Order Confirmation

An order is confirmed only when:

  • You accept our quotation in writing (email or signed document)
  • We receive your deposit payment (if required)
  • We send you a written order confirmation

We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing or product information, or suspected fraudulent activity.

5 Payment Terms

Payment Schedule

Unless otherwise agreed in writing, our standard payment terms are:

  • Deposit: 30-50% of the total order value upon order confirmation
  • Balance: Remaining amount before shipment or upon production completion
  • Sample Orders: 100% payment in advance

Accepted Payment Methods

  • Wire Transfer (T/T) - Bank Transfer
  • PayPal (for smaller transactions, fees may apply)
  • Letter of Credit (L/C) - for large orders
  • Other methods as mutually agreed

Currency and Exchange Rates

All prices are quoted in USD unless otherwise specified. You are responsible for any currency conversion fees charged by your bank or payment provider.

Late Payment

If payment is not received by the due date, we reserve the right to:

  • Suspend or cancel your order
  • Charge interest at a rate of 1.5% per month on overdue amounts
  • Withhold shipment until full payment is received

6 Shipping and Delivery

Shipping Methods

We offer various shipping options including:

  • Sea freight (FCL/LCL)
  • Air freight
  • Express courier (DHL, FedEx, UPS)
  • Door-to-door delivery services

Incoterms

Unless otherwise specified, shipments are FOB (Free On Board) Guangzhou port. Other Incoterms (EXW, CIF, DDP, etc.) can be arranged upon request.

Delivery Timeframes

Estimated delivery times are provided as guidance only and are not guaranteed. Delivery may be affected by:

  • Production delays
  • Customs clearance procedures
  • Shipping carrier schedules
  • Weather conditions and force majeure events

Risk of Loss: Risk of loss and title for products pass to you upon our delivery to the carrier, unless otherwise agreed in writing.

Customs and Import Duties

You are responsible for all customs clearance, import duties, taxes, and other charges in your destination country. We can provide necessary documentation but are not responsible for customs delays or additional fees.

7 Product Quality and Inspection

Quality Standards

We work with manufacturers to ensure products meet agreed-upon specifications. Quality standards should be clearly defined in the order confirmation, including:

  • Material specifications
  • Size and measurement tolerances
  • Color standards and acceptable variations
  • Workmanship requirements

Quality Inspection Services

We offer quality inspection services at various stages:

  • Pre-production inspection (sample approval)
  • During production inspection (in-line check)
  • Final random inspection (before shipment)

Claims and Returns

If you discover defects or quality issues:

  • Claims must be reported within 7 days of delivery
  • Provide photographic evidence and detailed description
  • Products must be in their original condition for return consideration
  • Return shipping costs are typically borne by the responsible party

Minor variations in color, size, or appearance are inherent to manufacturing and are not considered defects. Acceptable tolerance ranges are typically ±5% for measurements and color variations as per industry standards.

8 Intellectual Property Rights

Your Designs and Trademarks

If you provide designs, logos, or trademarks for production:

  • You warrant that you own or have the right to use such intellectual property
  • You grant us a limited license to use your IP solely for producing your orders
  • You indemnify us against any claims of IP infringement related to your designs

Third-Party IP

We do not knowingly facilitate the production of counterfeit or infringing products. You agree not to:

  • Request production of products that infringe third-party trademarks, copyrights, or patents
  • Provide designs that incorporate protected brand elements without authorization
  • Use our services to produce counterfeit goods

IP Violation: We reserve the right to refuse any order that we believe infringes on third-party intellectual property rights. You are solely responsible for ensuring your products do not violate any IP laws.

TLSTAGE Website and Content

All content on our website, including text, graphics, logos, and images, is owned by TLSTAGE and protected by copyright laws. You may not reproduce, distribute, or use our content without written permission.

9 Limitation of Liability

To the maximum extent permitted by applicable law:

  • TLSTAGE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption
  • Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific order giving rise to the claim
  • We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control
  • We are not responsible for the acts or omissions of third-party manufacturers, suppliers, or shipping carriers

Service Capacity: We act as sourcing agents and facilitators. While we exercise reasonable care in selecting manufacturers and managing the sourcing process, we are not the manufacturers and cannot guarantee the performance or quality of third-party suppliers beyond our inspection services.

10 Warranties and Disclaimers

Our Limited Warranty

We warrant that:

  • We will perform our services with reasonable skill and care
  • We will work with reputable manufacturers to the best of our knowledge
  • We will conduct quality inspections as agreed in your order

Disclaimer of Warranties

Except as expressly stated, our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of information

Product Warranties

Any warranties on manufactured products are provided by the manufacturers themselves, not by TLSTAGE. We will facilitate warranty claims where possible, but ultimate responsibility lies with the manufacturer.

11 Indemnification

You agree to indemnify, defend, and hold harmless TLSTAGE, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms of Service
  • Your violation of any law or regulation
  • Your violation of any third-party rights, including intellectual property rights
  • Your use of our services or products sourced through our services
  • Any false or misleading information you provide to us
  • Your business operations, including product sales, marketing, and distribution

This indemnification obligation will survive the termination or expiration of these Terms and your use of our services.

12 Dispute Resolution

Informal Resolution

In the event of any dispute, claim, or controversy arising from these Terms or our services, we encourage you to first contact us to seek an informal resolution. We commit to working in good faith to resolve any issues.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Arbitration

Any dispute that cannot be resolved informally shall be submitted to arbitration under the China International Economic and Trade Arbitration Commission (CIETAC) rules. The arbitration shall be conducted in Guangzhou, China, in English.

Class Action Waiver

You agree that any proceedings to resolve disputes will be conducted on an individual basis and not in a class, consolidated, or representative action.

13 Termination

Termination by You

You may terminate your use of our services at any time by ceasing to use our website and services. However, you remain responsible for any outstanding payments for confirmed orders.

Termination by Us

We reserve the right to suspend or terminate your access to our services immediately, without prior notice, for any reason, including:

  • Breach of these Terms
  • Non-payment or fraudulent payment activity
  • Illegal or unethical conduct
  • Requests for products that infringe intellectual property rights
  • Abusive behavior toward our staff or partners

Effect of Termination

Upon termination:

  • Your right to use our services immediately ceases
  • All outstanding payments become immediately due
  • We may cancel pending orders at our discretion
  • Provisions that by their nature should survive termination will continue to apply

14 General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any order confirmations, constitute the entire agreement between you and TLSTAGE regarding our services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of TLSTAGE.

Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or epidemics.

Language

These Terms are provided in English. Any translations are provided for convenience only. In the event of any inconsistency, the English version shall prevail.
